By submitting your Content (sound recordings, images, writings, and any other potentially copyrightable items) to cannon.fm, you agree to the following: The content you submit will be used for a music streaming mobile application and website currently called Cannon.FM, but subject to change. We do not guarantee any confidentiality regarding any Content you submit.

You are solely responsible for the Content you submit and the consequences of submitting and publishing your Content on the Service. You agree not to post any Content in violation of any third party's copyrights, trademarks or other intellectual property or proprietary rights. You agree to abide by laws regarding copyright ownership and the use of intellectual property, and you are solely responsible for any violations of any relevant laws and for any infringements of third party rights caused by any Content you provide, post or transmit, or that is provided, posted or transmitted using your account.

You warrant that you own or have the necessary licenses, rights and permissions to publish any Content you submit to cannon.fm. CannonFM/cannon.fm does not endorse any Content submitted to the Service by any user or other licensor, or any opinion, recommendation, or advice expressed therein, and we expressly disclaim any and all liability in connection with Content. We do not permit copyright infringing activities and infringement of intellectual property rights on the Service, and we will remove all such Content if properly notified that such Content infringes on another's intellectual property rights. We reserve the right to remove Content without prior notice.

By submitting Content to cannon.fm, you are granting us a worldwide, non-exclusive, royalty-free license to convert the format of Content you upload, transmit and stream the music, copy and distribute the music (only to the extent necessary to stream it and provide downloads to users where you authorize it), publicly perform the music, and publicly display song titles, images and videos. We can only do these things in connection with the Service and through the Service to applications, widgets, embeds, websites, mobile or desktop applications that are linked to cannon.fm.

You’re granting us the right to use your digital audio and video Content for promotional purposes on the Service in on-demand, non-downloadable streams. You acknowledge that neither you nor anyone deriving rights from you will be compensated by us for our promotional use of your Content for the purpose of streaming public performances. If you’re affiliated with a performing rights organization or collection agency/society ("PROs"), you MUST have the legal right to grant us royalty-free performance rights and you MUST notify any PRO you are affiliated with that you’ve done this. If you don’t have the right to grant us royalty-free performance rights to your musical composition and sound recording Content, you agree to bear all costs associated with the streaming performance of such Content on the Service.

By posting Content on cannon.fm, you’re warranting that you own or control all the rights to that Content or that you’re otherwise authorized to post that Content and to grant the licenses granted herein, and that Content you post does not contain third party copyrighted material or material that is subject to other third party proprietary rights (unless you have permission from the rightful owner).

You agree not to post any Content that is libelous, defamatory, obscene, pornographic, threatening, hateful, racially, culturally, ethnically or otherwise objectionable or offensive, discriminatory or abusive; advocates or encourages conduct that could constitute a criminal offense, give rise to civil liability or otherwise violate any applicable local, state, national or foreign law or regulation; and/or causes duress, distress or discomfort to another or is likely to deter or discourage others from using the Service.

You also agree not to publish, link to, sell or otherwise distribute Adult Content on the Service, and you will remove any Adult Content as soon as you become aware, or are made aware, of such Adult Content. "Adult Content" means any material, including textual, audio or video material, that is violent or pornographic or that contains nudity, explicitly violent or sexual material or depictions of violent or sexual acts. You are solely responsible and liable for any such activities, behavior, use and conduct on your account. We reserve the right to terminate your receipt, transmission or other distribution of any Adult Content using the Service, and, if applicable, to delete Adult Content from our servers.

To the extent permitted by applicable law, you agree to defend, indemnify and hold harmless cannon.fm, its officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (1) your use of and access to the Service; (2) your violation of any term of these Terms of Service; (3) your violation of any third party right, including but not limited to copyrights, property rights or privacy rights; or(4) any claim that your Content caused damage to a third party. This defense and indemnification obligation will still be effective, even if you cancel your account and/or stop accessing the site and using the Service. You agree to cooperate as fully as reasonably required in the defense of any such claim. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you and you agree not to settle any matter without our written consent.  

DMCA Notification Policy

We respect the intellectual property of others, and we ask our users to do the same. If you believe that your work has been copied in a way that constitutes copyright infringement, or your intellectual property rights have been otherwise violated, please provide our Copyright Agent the following information:

• an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright or other intellectual property interest;
• a description of the copyrighted work or other intellectual property that you claim has been infringed;
• a description of where the material that you claim is infringing is located on the site;
• your address, telephone number, and email address;
• a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and
• a statement by you, made under penalty of perjury, that the above information in your Notice is accurate and that you are the copyright or intellectual property owner or authorized to act on the copyright or intellectual property owner's behalf.

Any person who knowingly materially misrepresents under this section that material or activity was removed or disabled by mistake or misidentification, shall be liable for any damages, including costs and attorneys' fees, incurred by the alleged infringer, by any copyright owner or copyright owner's authorized licensee, or by a service provider, who is injured by such misrepresentation, as the result of the service provider relying upon such misrepresentation in removing or disabling access to the material or activity claimed to be infringing, or in replacing the removed material or ceasing to disable access to it.
